Terms of Service

These Terms of Service ("Terms") govern your access to and use of Measurely ("we", "us", or "our") at measurely.io and app.measurely.io (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Service you represent that you meet these requirements. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Account registration

You may sign up using Google OAuth or a magic link sent to your email address. You are responsible for keeping your account credentials secure. You must notify us immediately at support@measurely.io if you believe your account has been compromised. We are not liable for any loss resulting from unauthorised access to your account.

3. Subscription and billing

Measurely offers paid subscription plans billed monthly or annually. Subscriptions begin with a 14-day free trial. No credit card is required to start a trial. After the trial period, continued use of paid features requires a valid subscription.

Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period — you will retain access to the Service until that date. We do not provide refunds for partial billing periods.

We reserve the right to change subscription pricing with at least 30 days' notice to active subscribers.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service
• Resell, sublicense, or commercially exploit the Service without our written consent
• Upload or transmit malicious code, spam, or content that infringes third-party rights
• Interfere with or disrupt the integrity or performance of the Service

5. Google Ads integration

By connecting a Google Ads account to Measurely, you authorise us to access that account's data via the Google Ads API solely to provide the Service. You are responsible for ensuring you have the necessary permissions from your clients to connect their accounts. You must comply with Google's Terms of Service and API policies at all times.

6. Your data

You retain ownership of all data you bring into the Service, including Google Ads campaign data. We do not claim any intellectual property rights over your data. We process your data only to provide the Service as described in our Privacy Policy.

7. Intellectual property

The Service, including its design, code, trademarks, and content, is owned by Measurely and protected by applicable intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand assets.

8. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranty of any kind. We do not warrant that the Service will be uninterrupted, error-free, or that data will never be lost. We make no guarantees regarding the accuracy of data retrieved from the Google Ads API.

9. Limitation of liability

To the maximum extent permitted by law, Measurely shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability to you for any claim shall not exceed the amount you paid us in the three months preceding the claim.

10. Termination

We may suspend or terminate your account if you violate these Terms or if we reasonably believe your use of the Service poses a risk to other users or to the Service itself. Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days after termination to allow for export, after which it will be deleted.

11. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through good-faith negotiation before resorting to formal legal proceedings.
